FAQs
Answers to the questions owners ask us most.
Selling, acquiring or preparing a business is a significant decision, and most owners are working through it for the first time. These are the questions we are asked most often, answered plainly. If yours is not here, a confidential conversation is the fastest way to get a clear answer.
01About G&G
G&G is an independent M&A advisory firm working with founders, shareholders and acquirers of established Australian privately owned businesses across the small and mid-market. We were founded by Leigh Golombick and Alvina Galstian because owners deserve experienced M&A advice, senior attention and a genuinely personal approach.
No. We provide senior-led M&A corporate advisory. That means the people you meet are the people who run your transaction, and the work covers strategy, positioning, buyer engagement, valuation judgement, negotiation of price, structure and terms, and coordination through to completion — not simply listing a business for sale.
We work with founders, shareholders and acquirers of established Australian privately owned businesses across the small and mid-market, typically founder-led or family-owned. We do not publish a fixed business valuation or transaction-size range; the best way to understand whether we are the right fit is a confidential initial conversation.
We advise across a broad range of sectors and hold particular depth in several, including defence. Sector experience matters most in how a business is positioned and who is approached, so we bring that lens to every mandate rather than limiting ourselves to a single industry.
Our office is at Level 21, 8 Chifley Square, Sydney NSW 2000, and we advise clients across Australia. Most transaction work is conducted remotely and in person as required, wherever the business is located.
02Selling your business
Ideally twelve to twenty-four months before you intend to go to market. That gives you time to strengthen the areas buyers scrutinise properly, rather than under deal pressure, and it preserves the option to proceed only when the timing and terms are right.
Value comes from what a buyer is willing to pay for future earnings and the confidence they have in them. Earnings quality, growth, customer and supplier concentration, owner dependency and the strength of the management team all influence the multiple. We assess value the way an acquirer would before any figure is put to the market.
A well-run process generally runs several months from preparation to completion, with diligence and negotiation accounting for much of it. Preparation done in advance is the single biggest factor in a shorter, smoother process — the Insights article on transaction timelines sets out each stage.
Confidentiality is built into how we work. Buyers are approached selectively and discreetly, information is released in stages under appropriate protections, and the process is managed so staff, customers and suppliers are not exposed before you choose to tell them.
The buyers most likely to value your business, which often includes trade acquirers, strategic buyers and investors who are not actively looking. We map the market first so the approach is deliberate rather than broadcast.
03Buying a business
Yes. We advise Australian businesses, management teams and investors on buy-side mandates. The strongest acquisitions are driven by strategy, not availability, so we start by understanding what you are trying to achieve, where value can be created and which risks matter most.
We map the market, identify businesses with the strongest strategic and commercial fit, then engage owners and decision-makers discreetly — including businesses that are not actively for sale.
With discipline, before further time and capital are committed. We test strategic fit, valuation, financial performance and key risks, then negotiate price, structure and commercial terms with a clear view of value and your objectives, and coordinate diligence and advisers through to completion.
04Exit readiness
A structured program of work that prepares a business for a future sale, succession or generational transition. It is led by experienced M&A practitioners who understand what buyers look for, where scrutiny is likely to arise and what strengthens negotiating leverage.
We start with your objectives and timing, assess the business as a buyer would, identify what supports value and what may concern a buyer, build a clear and compelling investment story, and work through the key areas well before a transaction begins. You reach the decision to transact with greater clarity, control and more options.
A short set of questions that gives you an immediate view of where your business sits against the areas buyers examine most closely. It takes a few minutes, and the result is a useful starting point for a conversation about what to strengthen first.
No. Much of this work is most valuable for owners who are one to three years away, or who have not decided yet. Addressing these areas early puts you in a stronger position whenever you choose to act.

With a confidential, senior-led conversation about your business, your objectives and what a good outcome looks like. There is no obligation, and nothing progresses until you decide it should.
The founders. Senior attention is the point of the firm, so the advisers you meet at the outset are the ones who lead the work, negotiate on your behalf and see it through to completion.
Fees are agreed in writing before any engagement begins and are shaped by the scope, size and complexity of the work. We will set out clearly what is included, what it will cost and how it is billed, so there are no surprises.
It is treated as commercially sensitive and often deeply personal. We handle personal information in line with the Privacy Act 1988 (Cth) and the Australian Privacy Principles, as set out in our Privacy Policy on the Legals page.
